Mylan Announcement of Redemption of Certain Notes Due 2019

On May 16, 2018, Mylan N.V. and Mylan Inc., an indirect wholly owned subsidiary of Mylan N.V., delivered notices to The Bank of New York Mellon, as trustee (the “Trustee”), notifying the Trustee of their election to redeem the following series of notes on June 15, 2018 (the “Redemption Date”):

  • all of the remaining outstanding $150,000,000 principal amount of Mylan Inc.’s 2.550% Senior Notes due 2019 issued under the Indenture dated as of November 29, 2013, as amended and supplemented from time to time, among Mylan Inc., the guarantors from time to time party thereto and the Trustee; and
  • $450,000,000 of the outstanding $1,000,000,000 principal amount of Mylan N.V.’s 2.500% Senior Notes due 2019 issued under the Indenture dated as of June 9, 2016, as amended and supplemented from time to time, among Mylan N.V., the guarantors from time to time party thereto and the Trustee.

Mylan N.V. and Mylan Inc. instructed the Trustee to provide notices of the redemption to holders of the notes. All of notes will be redeemed at a redemption price calculated in accordance with the applicable indenture, plus accrued and unpaid interest to the Redemption Date.

The redemption of each series of Notes is conditioned upon the closing of one or more new unsecured bond financings for Mylan Inc. or Mylan N.V. in an aggregate principal amount of at least €500,000,000, in the form, on terms and subject to conditions, and pursuant to documentation that is in each case in form and substance, satisfactory to either Mylan N.V. or Mylan Inc., as applicable, in its sole and absolute discretion. The redemption notices will become fully unconditional upon such closing(s).
