(NASDAQ, TASE: MYL) today announced the pricing of a private placement of $1 billion aggregate principal amount of senior notes, comprised of $500 million aggregate principal amount of 3.000% senior notes due 2018 at an issue price of 99.874% and $500 million aggregate principal amount of 3.750% senior notes due 2020 at an issue price of 99.968%. Mylan intends to use the net proceeds from the offering to repay the amounts outstanding under its revolving credit facility and its accounts receivable securitization facility and to finance a portion of the repurchase of its ordinary shares pursuant to its previously announced share repurchase program. Subject to customary closing conditions, the sale of the notes is expected to close on or about December 9, 2015.

The notes will be sold only to qualified institutional buyers in the United States in reliance on Rule 144A under the Securities Act of 1933, and outside the United States to non-U.S. persons in reliance on Regulation S under the Securities Act. The proposed issuance of the notes will not be registered under the Securities Act, and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
